1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of OneChat (operating as “FloPro Support”, the “Service”), provided by OneChat (“we”, “us”, or “our”). By accessing or using the Service, or by clicking to accept these Terms, you (“Customer” or “you”) agree to be bound by them. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

OneChat is a multi-tenant customer-support platform that unifies conversations across WhatsApp, email, SMS, an embeddable web chat widget, and voice (inbound and outbound phone calls), with an AI agent and human operator takeover. We may update, improve, or modify features of the Service over time.

3. Customer Responsibilities

You are responsible for your account, your operators’ use of the Service, and the content you send and process through it. In particular:

  • WhatsApp messaging charges are paid directly to Meta. Under the WhatsApp Tech Provider model, you are responsible for adding your own payment method to your WhatsApp Business Account and you pay Meta directly for WhatsApp messaging usage. OneChat does not collect or remit those Meta messaging charges on your behalf.
  • You must comply with Meta’s policies and terms (including the WhatsApp Business and Platform terms) and with the policies and terms of the other channel providers you use through the Service (including Twilio for SMS, Resend for email, and the voice providers).
  • You must obtain all consents and provide all notices required to contact and message your contacts on each channel, and you are responsible for the lawful basis of your outreach.
  • You must keep your credentials secure and ensure your use complies with applicable law.

4. Acceptable Use

You agree not to use the Service to send spam or unsolicited messages, to harass, defraud, or harm others, to transmit unlawful, infringing, or malicious content, to attempt to gain unauthorized access to the Service or other tenants’ data, or to interfere with or disrupt the integrity or performance of the Service. We may suspend access for conduct that violates these Terms or the policies of our channel providers.

5. Billing & Fees

OneChat charges a software/platform fee for use of the Service, billed through DimePay. Fees are described in your order or plan and are due on the billing cycle specified there. Platform fees are separate from, and in addition to, any messaging or usage charges you owe directly to channel providers such as Meta (see Section 3). Except where required by law, fees are non-refundable.

6. Intellectual Property

The Service, including its software, design, and content (excluding your data), is owned by OneChat and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights to your data; you grant us the rights necessary to process it to provide the Service.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated output will be accurate or appropriate for any particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, OneChat will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim.

9. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or if required by law or by a channel provider. Upon termination, your right to use the Service ends; we will handle your data in accordance with our Privacy Policy and applicable deletion requests.

10. Governing Law

These Terms are governed by the laws of [Jurisdiction], without regard to its conflict-of-laws rules. The courts located in [Jurisdiction] will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to any mandatory rights you may have under local law.

11. Changes

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
